2. Acceptance of Terms

By using our website or purchasing our services, you confirm that you have read, understood, and agreed to these Terms.

If you do not agree with any part of these Terms, please do not use our website or services.

3. Quotations & Project Approval

  • All quotations are valid for 30 days unless otherwise stated.
  • A project begins only after written approval and receipt of the agreed advance payment.
  • Any work requested outside the approved scope will be treated as additional work and may incur extra charges.
  • Project timelines may change if the client delays approvals, content submission, or feedback.

4. Payment Terms

  • Advance payments are generally required before work begins.
  • Remaining payments must be completed according to the agreed payment schedule.
  • Delayed payments may result in temporary suspension of services or project delivery.
  • All payments made are subject to applicable taxes.

5. Client Responsibilities

The client agrees to:

  • Provide accurate project requirements.
  • Supply content, images, logos, and other materials required for the project.
  • Ensure that submitted content does not infringe any copyright or intellectual property rights.
  • Review and approve deliverables within a reasonable timeframe.

6. Intellectual Property

Unless otherwise agreed in writing:

  • SODESIGN retains ownership of all source files, templates, proprietary code, design assets, and development tools created by us until full payment has been received.
  • Upon full payment, the client receives ownership or usage rights for the final deliverables as agreed.
  • Third-party themes, plugins, fonts, stock images, APIs, or licensed software remain subject to their respective license terms.

7. Third-Party Services

Projects may rely on third-party providers, including:

  • Domain Registrars
  • Web Hosting Companies
  • Google
  • Meta
  • Cloudflare
  • Payment Gateways
  • WordPress Plugins
  • AI Platforms

We are not responsible for service interruptions, policy changes, account suspensions, or pricing changes made by these third-party providers.

8. Digital Marketing Services

For SEO, Google Ads, Meta Ads, and other marketing services:

  • We follow industry best practices and platform policies.
  • We do not guarantee specific rankings, traffic levels, leads, sales, or advertising performance.
  • Campaign results depend on many factors, including competition, budgets, market conditions, website quality, and platform algorithms.
  • Advertising budgets paid to Google, Meta, or other platforms are separate from SODESIGN’s service fees unless otherwise agreed.

9. Website Development

Website projects include only the features specified in the approved quotation or proposal.

Additional functionality requested after project approval may require additional development time and charges.

10. Maintenance & Support

Support is provided according to the selected maintenance or support plan.

Unless included in your agreement, ongoing maintenance, content updates, security monitoring, and backups are not part of one-time website development projects.

11. Refund Policy

  • Advance payments are generally non-refundable once project work has commenced.
  • Completed services, design work, consultations, and digital marketing services are non-refundable.
  • Refund requests, if applicable, will be evaluated based on the stage of the project and the agreed terms.

12. Limitation of Liability

To the maximum extent permitted by law, SODESIGN shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, business opportunities, or data arising from the use of our services.

13. Website Availability

While we strive to keep our website available at all times, we do not guarantee uninterrupted access. We may temporarily suspend access for maintenance, upgrades, or technical reasons.

14. Confidentiality

We treat client information as confidential and will not disclose it to third parties except where required to provide services, comply with legal obligations, or with the client’s permission.

15. Termination

Either party may terminate a project by providing written notice.

The client remains responsible for payment for all work completed up to the termination date.

16. Force Majeure

SODESIGN shall not be responsible for delays or failure to perform due to events beyond our reasonable control, including natural disasters, government actions, internet outages, cyberattacks, pandemics, or failures of third-party services.

17. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in Puducherry, India, unless otherwise required by applicable law.

18. Changes to These Terms

We may revise these Terms from time to time. Updated versions will be published on this page with the revised effective date.
